      1. Before accepting this agreement, please read the entire content of this agreement carefully (especially the bold and/or underlined parts) . If you have any questions about the terms of this agreement, please ask through the customer service channel of Yunshu Intelligent IoT, and the customer service will explain the terms to you. If you disagree with any content of this agreement, or cannot accurately understand Yunshu Intelligent IoT's interpretation of the terms, please do not agree to this agreement or use the services under this agreement. Otherwise, it means that you have accepted the terms and conditions described below and agree to be bound by this agreement. At that time, you should not claim that this agreement is invalid or request to revoke this agreement on the grounds that you have not read the content of this agreement or have not obtained Yunshu Intelligent IoT's answer to your inquiries.
      2. In order to fully protect your legal rights and interests, Yunshu Intelligent IoT specially reminds you to pay special attention to the bold and/or underlined parts of the terms of this agreement. Please be sure to read them carefully.
    I. Definitions clause
      You acknowledge and agree to the interpretation and definition of each term in these Terms and agree to perform relevant obligations in accordance with such definitions.
      1.1. Yunshu Intelligent IoT (hereinafter collectively referred to as "Yunshu" or "platform"): specifically refers to the network service platform that is operated/managed by Yunshu with qualified authority now or in the future, and provides technical services such as vending machine management, including but not limited to the operation and management of vending machines, mobile payment of vending machines, management of vending machine membership cards, WeChat store viewing, etc., and network platforms that may be newly established or cooperated in the future.
      1.2. User: an individual who purchases goods from a vending machine.
      1.3. Purchase information: your product/service/discount information (such as product/service description, validity period of redemption voucher, store information, member discount, etc.) published by you through the platform and displayed on the platform page. This information is an offer you make to the user for the aforementioned product/service. Once the user confirms and agrees to purchase your product/service through the platform, it is deemed that you and the user have reached a corresponding agreement.
      1.4. Merchant Center: In order to complete the cooperation content, Yunshu provides you with a management system based on the agreement, including "Vending Machine Backstage", "WeChat Management System", etc.
      1.5. Redemption Voucher: refers to the consumption voucher of goods/services provided by you to users obtained through the platform. Redemption vouchers include but are not limited to vouchers, platform orders, etc., and the display methods include but are not limited to characters, QR codes, orders, text messages, emails, etc.
      1.6. Machine Retail Price: The single sales price of the goods/services you provide when directly selling/providing to the outside when signing this agreement.
      1.7. Platform Price: The price of the goods/services you provide displayed to users through the platform.
      1.8. Service Fee: In order to achieve your purpose of entering the platform to carry out business activities and conduct transactions, the standard functions of the Yunshu are free of charge. For value-added services such as enabling LOGO modification, remotely modifying machine prices, and using your own official account to manage machines, you need to pay an additional service fee.
      1.9. Service Fee Price: Subject to the business quotation.
    2. Service content:
      In order to enable you to enter the platform to conduct business activities, publish product/service information through the platform, and conduct transactions with users, Yunshu provides you with authorized computer software and software technology services, network technology services and other related services. The specific service contents are as follows:
      2.1. Yunshu/Yunshu Affiliates/Yunshu Partners provide you with system platforms and software equipment to enable you to display and purchase products/services online, and to collect the corresponding payment for products/services on your behalf.
      2.1.1. Authorize you to use the computer software related to the cooperation content owned or legally operated and managed by Yunshu, and provide software technology services.
      2.1.2. Yunshu uses its own technology and knowledge to solve the network technology problems encountered by it in the process of operating the platform.
      2.1.3. Settlement of technical service fees: Yunshu/Yunshu Affiliates/Yunshu Partners collect the corresponding payment for products/services on your behalf through the platform, and pay the net amount collected to you.
    Ⅲ. Service Fees and Payment Methods:
      Based on the above services, you should pay the service fees as agreed. You agree and confirm that the Yunshu/Yunshu Affiliates/Yunshu Partners can directly deduct the above service fees from the collection amount and pay the net amount to you.
    IV. Your rights and obligations:
      4.1. You shall abide by the provisions of this agreement and the rules related to your performance of obligations under this agreement published in the platform announcement.
      4.2. You shall ensure that you are a legal person or other commercial entity legally established and validly existing under Chinese law, able to independently assume legal liability, and have all the rights and capabilities required to perform this agreement; if this agreement cannot be performed normally due to your qualifications or the information you provide, you shall be responsible for all the consequences arising therefrom, and you shall also compensate Yunshu/Yunshu Affiliates/Yunshu Partners for the losses suffered thereby.
      4.3. You promise that the certification materials submitted to Yunshu are legal, true, accurate and detailed. Otherwise, you promise to independently bear the corresponding responsibilities and consequences caused by this, and exempt Yunshu from liability.
      4.4. You promise that the merchant information (including but not limited to text, pictures, etc.) published, edited and updated through the Yunshu is true and accurate, and does not infringe on the legal rights and interests of anyone.
      4.5 . When you provide goods/services to users, you should ensure that your information is consistent. During the validity period of the redemption voucher, you should accept the user's consumption in accordance with the provisions of this agreement, information description, order and relevant rules of Yunshu. You shall bear all the consequences related to user complaints, economic losses and other related consequences caused by you.
      4.6. You should operate legally, and the goods/services you provide should comply with the provisions of national laws, regulations and rules. If your behavior or the goods/services you provide cause losses to users, you shall bear the corresponding compensation liability. If Yunshu/Yunshu Affiliates/Yunshu Partners make advance compensation to consumers based on the above circumstances, Yunshu has the right to pursue compensation. Since you are the actual owner of the vending machine and are responsible for independent operation, you must ensure that you have the relevant legal and compliant qualifications to provide services. You must strictly abide by the laws and regulations of the People's Republic of China, including but not limited to the Food Safety Law, the Consumer Rights Protection Law, the Product Quality Law, the Tobacco Monopoly License Management Measures, the Food Safety Law Implementation Regulations, etc. If you involve business scope, you should legally have a commodity business license for the relevant business scope. You should ensure that the food and goods you provide meet safety and hygiene conditions. The tort liability caused by food hygiene and safety accidents shall be borne by you, and Yunshu shall not bear any responsibility. If consumers have complaints or disputes due to food hygiene and safety reasons, resulting in property losses or personal injuries to you, Yunshu or a third party, all legal liabilities arising therefrom shall be borne in full by you. If your business scope involves franchised goods, you must have a business license. You understand and promise to conduct legal operations based on vending machines, and Yunshu does not bear any responsibility for any business-related matters.
      4.7. You should issue invoices for users in the corresponding amount according to the platform price.
      4.8. You should ensure that the actual sales price in the business premises during the cooperation period is reasonable and legal, and you must not instigate or induce users to give up the redemption vouchers and use cash or other forms of consumption instead, otherwise Yunshu has the right to terminate this agreement immediately and require you to bear the liability for breach of agreement in accordance with the provisions of this agreement.
      4.9. For redemption vouchers that have been traded but not actually consumed, regardless of whether the validity period of the redemption voucher has expired, you agree that Yunshu/the actual operator of the platform has the right to retain the amount corresponding to the redemption voucher and dispose of the corresponding amount in accordance with the agreement of the order and the requirements and wishes of the user.
      4.10. You should confirm the redemption voucher in time when the user consumes. You shall bear all losses caused by your failure to perform your obligations.
      4.11. You promise and guarantee that you have legal rights or legal authorization to the goods, trademarks, brands, pictures, etc. used, and will not infringe on the intellectual property rights, corporate name rights and other rights of others; and you promise that Yunshu/Yunshu Affiliates/Yunshu Partners will not suffer any complaints, defenses and disputes from third parties due to the display of your above information, otherwise the corresponding responsibilities shall be borne by you.
      4.12. Regardless of the termination of this agreement for any reason, you promise to immediately stop using the trademarks, logos, website names, website content, etc. related to Yunshu in any way.
      4.13. You agree that the comments, photos, etc. posted by users on the platform are purely personal opinions of users and have nothing to do with the position of Yunshu. Yunshu does not assume any responsibility.
      4.14. You shall provide goods/services to users in accordance with the agreement, page information and platform rules. Otherwise, if user complaints or losses are caused to users/Yunshu/Yunshu Affiliates/Yunshu Partners, you shall bear the corresponding responsibilities, and Yunshu has the right to terminate the agreement and require you to pay liquidated damages in accordance with the agreement.
      4.15. You shall not conduct the following acts by yourself or others by any means or in any way (including but not limited to virtual transactions, virtual verification, self-purchase and self-sale, forging real consumption, experience, and order-brushing of network users, which violate platform rules and damage the interests of Yunshu/Yunshu Affiliates/Yunshu Partners, or forgery, counterfeiting and other acts that violate national laws and regulations, or other acts that violate the principles of fair competition, honesty and credit and business ethics), otherwise, Yunshu has the right to terminate the agreement, deduct the losses caused to Yunshu/Yunshu Affiliates/Yunshu Partners by the above acts from the net collection amount, and require you to pay liquidated damages in accordance with the agreement.
      4.16. If the plan, project or agreement is terminated due to your reasons during the agreement performance period (including but not limited to the service plan being offline or ceasing operation), you shall promptly notify the Cloud Data Platform. If you fail to notify, you shall bear all disputes and liabilities (including but not limited to user complaints, penalties imposed by administrative agencies, etc.), and if this causes economic losses to Yunshu/Yunshu Affiliates/Yunshu Partners, you shall compensate for it.
    V. Rights and obligations of Yunshu:
      5.1. Yunshu shall provide you with the technical services and other related services agreed in this agreement.
      5.2. In order to better recommend your products/services and increase your popularity/order volume, Yunshu may make relevant publicity and introductions through appropriate methods and channels, and make relevant recommendations/promotions. You recognize the above-mentioned behavior and authorize Yunshu/Yunshu Affiliates/Yunshu Partners to use the name, LOGO, pictures, text, store, member discounts and other information of you and its related vending machines.
      5.3. Yunshu has the right to charge you service fees in accordance with the provisions of this agreement, and has the right to directly deduct such service fees from the net amount collected.
      5.4. Yunshu has the right to conduct a formal review of the content and information you intend to publish on the platform. If necessary, Yunshu has the right to refuse to publish in accordance with laws, regulations, policies and platform rules (such as merchants intend to publish information suspected of pornography, gambling, drugs and other illegal or violating public order and good customs).
      5.5. Except for errors in the displayed information content or text, you shall not require Yunshu to modify your information that has been published on the platform.
      5.6. If a user complains to the actual operator of the Yunshu about your product/service, Yunshu has the right to require you to cooperate in resolving the complaint after verification. Before the complaint is resolved, Yunshu/Yunshu Affiliates/Yunshu Partners have the right to refuse to pay you the net amount of collection involved in the complaint, and will pay after the complaint is resolved.
      5.7 Yunshu has the right to upgrade and update the merchant center system. If there is any change, Yunshu will notify you in the form of an announcement through the aforementioned system.
      5.8 The right to use the Yunshu account belongs only to the initial applicant and is prohibited from being transferred, inherited or sold. If Yunshu finds that the user is not the initial registrant of the account or has the purpose of stealing commercial secrets, Yunshu has the right to reclaim the account without assuming legal responsibility to the account user. Yunshu prohibits users from privately transferring accounts for a fee or free of charge to avoid disputes due to account issues. Users are responsible for any losses incurred due to violation of this requirement.
      5.9 Software usage fee description: This version is currently free to use. It will be charged after future upgrades to distinguish between ordinary users and members. The final right of interpretation of this software belongs to the Yunshu.
    VI. Liability for Breach of Agreement:
      6.1. Unless otherwise agreed in this agreement, if you violate the principle of good faith, or violate any clause of this agreement or any rules on the Platform, or violate any commitment and guarantee made in the performance of this agreement, or the qualifications, licenses and other information you provide are untrue, then Yunshu and its affiliates have the right to stop providing you with platform services and have the right to require you to correct the breach of agreement within a certain period of time. If you correct the breach of agreement within the period required by Yunshu and it complies with the provisions of this agreement, Yunshu shall resume providing you with platform services; if you refuse to correct within the period required by Yunshu or it still does not comply with the provisions of this agreement after correction, Yunshu has the right to unilaterally terminate this agreement and has the right to require you to pay liquidated damages.
      6.2. If Yunshu fails to perform its obligations in accordance with the agreement, including failure to pay in time, and refuses to correct within the period required by you or it still does not comply with the provisions of this agreement after correction, it shall bear the losses caused to you.
    VII. Confidentiality Obligation:
      Unless otherwise agreed, any party to this agreement shall strictly keep confidential the business, operation, financial status and other confidential information of the other party obtained by it, and shall not disclose it to any third party in any form. Otherwise, if any loss is caused to the other party, the breaching party shall bear all losses caused to the observant party. The confidentiality obligation shall remain valid during the validity period of the agreement and after its termination, and shall not become invalid due to the invalidity or revocation of other terms of this agreement in whole or in part.
    8. Termination and Cancellation of the Agreement:
      This agreement shall be terminated when the term of this agreement expires or other termination circumstances stipulated in this agreement occur. Unless otherwise agreed in the agreement, during the performance of the agreement, one party may terminate this agreement after notifying the other party in writing and reaching a consensus through consultation. After the termination or cancellation of this agreement:
      8.1. Yunshu has the right to delete your information that has been published on the platform and has the right to refuse to provide relevant information.
      8.2. For orders that you have reached with users before the termination of this agreement but have not yet been fulfilled, you shall continue to perform the corresponding obligations in accordance with the provisions of this agreement, information, orders, platform rules, etc.
      8.3. You agree that Yunshu will save your qualification information, product information, transaction records and other relevant information.
    IX. Disclaimer:
      If Yunshu is unable to perform its obligations under this agreement due to force majeure factors such as war, natural disasters, government actions, Internet system failures, Internet communication provider failures, or third-party reasons, Yunshu shall not be liable.
    10. Applicable Law and Dispute Resolution Clauses:
      10.1. The formation, validity, interpretation, performance, signing, revision and termination of this Agreement and the resolution of disputes shall be subject to the laws of the People's Republic of China.
      10.2. Any disputes arising from or related to this agreement shall be settled through negotiation between the parties. If no agreement is reached through negotiation, either party may submit the dispute to the court in the place where the plaintiff is located.
    XI. Supplementary Provisions:
      11.1. For all notifications related to this agreement, both parties may choose to change and confirm in writing, by email or by operation of Yunshu center.
      11.2. The main text of this agreement shall not be altered or revised. If there are any matters not covered, a written supplementary agreement shall be signed separately. Any form of oral agreement is invalid.
      11.3. The appendix to this agreement is an integral part of this agreement and has the same legal effect as this agreement.
